Pay4 Payments Terms & Conditions

Please read these Terms & Conditions (“Agreement”) carefully. By applying for or using our services, you agree to be bound by these Terms.
1. Definitions
“Merchant” refers to you, the business or individual who enters into this Agreement with Pay4 Payments to use our services.
“Services” means the payment gateway, EFTPOS terminals & POS systems, Pay By Link, merchant services, etc.
“Equipment” refers to any hardware, POS terminal, mobile terminal etc supplied or rented by Pay4 Payments.
“Fees” are the charges payable by Merchant for the use of services or equipment, including transaction fees, rental fees, monthly fees, etc. “Commencement Date” is the date this Agreement becomes active (as specified in the application or when first service is used).
2. Term & Termination
This Agreement begins on the Commencement Date and continues until terminated by either party under the provisions of this Agreement.
Merchant may terminate by providing [X] days’ written notice (insert number).
Pay4 Payments may terminate or suspend services for breach, non-payment of fees, fraud, misuse, or legal / regulatory obligations.
3. Equipment & Delivery
If Equipment is rented, Merchant must take care of it, use it properly, and return it in good condition (normal wear & tear excepted).
Delivery times for Equipment will be as stated, but delays may occur. Pay4 Payments is not liable for delays beyond our control.
Ownership of Equipment remains with Pay4 Payments unless a buy-out or transfer is agreed explicitly.
4. Fees & Payment
Merchant agrees to pay all applicable Fees on time, as detailed in the schedule or pricing agreement.
Fees might include: transaction fees, equipment rental/purchase fees, monthly minimums, service/support fees, etc.
Where applicable, Merchant shall pay for any charges, taxes, duties associated with the service.
Late payments may incur interest or penalties as permitted by law.
5. Use of Services
Merchant shall use the Services only for lawful purposes and in accordance with all applicable laws and regulations (including PCI-DSS, privacy, anti-money laundering).
Merchant must not misuse the Services, attempt to defraud, or engage in prohibited transactions.
Merchant is responsible for maintaining confidentiality of credentials, login access, terminals, etc.
6. Security & Compliance
Pay4 Payments will provide services in compliance with required security standards (e.g. PCI-DSS, encryption, etc.).
Merchant must also ensure their own systems (where applicable) are secure and comply with any applicable requirements.
7. Liability & Indemnity
Pay4 Payments’ liability is limited to the maximum extent permitted by law. Except as required by law, we exclude liability for indirect, special, or consequential losses.
Merchant indemnifies Pay4 Payments against losses arising from Merchant’s breach of this Agreement, misuse of services, unlawful use, etc.
8. Intellectual Property
All intellectual property rights in our products, services, software, trademarks remain with Pay4 Payments or its licensors.
Merchant has no rights to use them except as permitted by this Agreement.
9. Confidentiality
Both parties agree to keep confidential any non-public, business or technical information disclosed in connection with this Agreement.
Confidential information does not include information that is public, rightfully obtained from third parties without breach of obligation, or independently developed.
10. Dispute Resolution & Governing Law
If a dispute arises, parties will try to resolve by negotiation first. If not resolved, escalate as provided under this Agreement.
This Agreement is governed by the laws of the State of Victoria, Australia.
11. Miscellaneous
Amendments: We may update these Terms from time to time; we’ll notify you of material changes via email or on our website. Continued use of our services after notice implies acceptance.
Force Majeure: Neither party is liable for failure to perform due to events outside reasonable control (natural disasters, acts of government, etc.).
Severability: If any clause is found invalid or unenforceable, it does not affect the remainder of this Agreement.
